remain the intellectual property of ELYONIX GRID PIONEERS.

Project Deliverables

Ownership of completed deliverables shall transfer to the Client only after full payment has been received.

9. Software Development and Delivery

10. Third-Party Services

15. Maintenance and Support

Maintenance and support services shall be provided according to the support package or service agreement selected by the Client.

Support services do not automatically include:

  • New feature development
  • Third-party software licensing
  • Major redesigns
  • Infrastructure upgrades

unless specifically agreed upon.

16. Termination

Either party may terminate a project or service agreement by providing written notice.

Upon termination:

  • Outstanding payments become immediately due.
  • Work completed up to the termination date shall be billable.
  • Access to services may be suspended until all outstanding obligations are fulfilled.

17. Force Majeure

The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including:
